- Summary
- Truckcom Systems Limited (“the Company”), in return for payments by the Licencee of licence fees, hereby grants to the Licencee a non-exclusive, non-transferable licence to use Truckcom (“the Software”)
- This agreement shall be governed by and construed in accordance with English law and the Company and Licencee agree to submit to the jurisdiction of the English courts
- This agreement shall be binding on the successors in title of the Company and Licencee
- Confidentiality
- The Licencee may allow any of its employees, agents or subcontractors engaged in logistics activities to access the software, but shall not allow any subcontractors or associates who are engaged in software development or support tasks to access the software without the consent of the company
- The Company and the Licencee undertake to each other to keep confidential all information concerning the business and affairs of the other that it shall have obtained or received as a result of the discussions leading up to or the entering into of this agreement save that which is trivial or obvious, already in its possession other than as a result of a breach of this clause, or in the public domain other than as a result of a breach of this clause
- Exclusion Of Warranties
- The Company does not warrant that the use of the software will meet the licencee’s requirements or that the operation of the software will be uninterrupted or error free
- Limitation of Liability
- The Company’s entire liability shall be limited to the aggregate of licence fees paid in the immediately preceding period of 3 months
- The Company shall not be liable to the Licencee in respect of any loss of business, opportunity, contract, profits, goodwill or any type of indirect or consequential loss.
- Duration and Termination
- The licencee can terminate this agreement at any time, without notice
- The Company reserves the right to deny access to the Software if payment of licence fees has not been made by the Licencee within 14 days of them becoming due
- The Company reserves the right to terminate this licence agreement and delete the Licencee’s data held within the Software at any time after 5 days after denial of access as a result of 5b above
